5:45am Conference Call

We got an early start this morning with a closing call.  I am not a morning person, but this is what happens when parties to the transaction are located in three time zones and two countries.  As soon as I get confirmation that our filing was received by the Secretary of State I'll breathe a sigh of relief.

In related news, yesterday was my birthday.  I was at the office for thirteen hours and ate a cold grilled cheese for dinner.  While it wasn't my ideal birthday celebration by any means, it was probably a fitting end to the year.  After twiddling my thumbs for my first six months at the firm, wishing for a substantive project to come across my desk, the powers that be delivered my first opportunity to draft a merger agreement, work directly with a partner and client, and see the deal lifecycle up close (up until now it's been a lot of diligence and random research projects) days before my one-year anniversary.  I learned a lot and that counts for something!
